Terms of Service

1. Acceptance of Terms

By accessing or using services provided by JAS Digital ("Company", "we", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use our services.

2. Scope of Services

JAS Digital provides visual communication, animation, AI-assisted content production, and strategic creative services across multiple verticals including but not limited to:

• Impact & ESG Reporting
• SaaS & Fintech Explainers
• Performance Advertising Creative
• Spatial & Site Visualizations
• Ongoing Content Retainers

All services are delivered based on predefined scope tiers (Concept, Basic, Standard, Premium) or custom agreements.

3. Engagement & Contract Formation

A binding agreement is formed when:

• A client approves a proposal, quote, or scope (via platform, email, or system), AND
• Payment (full or partial) is made.

Automated scoping tools (including AI systems such as Eva) generate preliminary outputs which may be refined before final agreement.

4. Payments & Pricing

• All prices are quoted in USD unless otherwise stated.
• Work begins only after required payment is received.
• Payment structures may include: full upfront payment, milestone-based payments, or subscription/retainer billing.

Failure to complete payment may result in:

• Suspension of work
• Withholding of deliverables
• Termination of agreement

5. Scope Control & Revisions

Each project tier includes a defined scope and revision limit.

• Any work beyond agreed scope will be billed separately.
• Revisions are limited to the scope outlined in the agreed package.
• Fundamental changes (e.g., new direction, new concept) are treated as new work.

6. Delivery Timelines

• Timelines are estimates, not guarantees.
• Accelerated timelines may incur rush fees.
• Delays caused by client (late feedback, missing assets, indecision) may extend delivery timelines.

7. Client Responsibilities

Client agrees to:

• Provide accurate and complete information
• Respond to feedback requests in a timely manner
• Ensure all submitted materials (logos, content, data) are legally owned or licensed

JAS Digital is not responsible for issues arising from inaccurate or unauthorized client-provided materials.

8. Intellectual Property

8.1 Ownership Transfer

• Final deliverables are transferred to the client ONLY after full payment is completed.
• Until payment is complete, all work remains property of JAS Digital.

8.2 Portfolio Rights

JAS Digital retains the right to:

• Display completed work in portfolios, marketing, and case studies
• Showcase anonymized or redacted versions if confidentiality applies

9. Use of AI & Automation

Client acknowledges that:

• AI tools may be used in ideation, production, and optimization workflows
• Outputs are curated, refined, and quality-controlled by human oversight

JAS Digital is not liable for:

• AI-generated inaccuracies originating from third-party models
• Interpretations of client-provided data

10. Limitation of Liability

To the maximum extent permitted by law:

JAS Digital shall NOT be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Client misuse of delivered assets

Total liability is strictly limited to the amount paid for the specific service.

11. No Guaranteed Results

While services are designed to achieve specific outcomes (e.g., increased conversions, funding clarity), results are NOT guaranteed.

Performance depends on multiple external factors beyond our control.

12. Termination

We reserve the right to terminate services if:

• Client violates these terms
• Client engages in abusive or unethical behavior
• Payment obligations are not met

No refunds will be issued for work already performed.

13. Confidentiality

Both parties agree to keep confidential information private unless:

• Disclosure is required by law
• Permission is explicitly granted

14. Governing Law

These Terms shall be governed by the laws of Kenya.

15. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of revised terms.
